These Terms of Use (“Terms”) govern your access to and use of VidaAntigua.com, VIDA, and any related websites, accounts, directories, membership features, business tools, rewards programs, QR systems, communications, applications, and services operated by Prolific Marketing LLC (collectively, the “Services”).

By accessing or using the Services, creating an account, submitting content, claiming or managing a business listing, participating in a VIDA program, or otherwise using VIDA, you agree to these Terms.
If you do not agree to these Terms, do not use the Services.
1. About VIDA
VIDA provides information and resources relating to businesses, restaurants, cafés, bars, hotels, attractions, events, services, activities, communities, travel, experiences, and other places and opportunities primarily related to Guatemala.
VIDA may also provide account features, saved collections, sharing tools, business-management tools, QR codes, rewards, benefits, memberships, promotional opportunities, referrals, reviews, articles, events, recommendations, and other services.
Features may be added, changed, suspended, or discontinued at any time.
2. Eligibility and Age Requirements
Anyone may browse publicly available areas of VIDA unless otherwise restricted.
You must be at least 13 years old to create a Personal VIDA account.
If you are between 13 and 17 years old, you may use a Personal VIDA account only with the permission of your parent or legal guardian. Your parent or legal guardian is responsible for supervising your use of the Services.
Children under 13 may not independently create a VIDA account.
You must be at least 18 years old to:
Register or act as a business owner, manager, or authorized business representative;
Claim or manage a business listing;
Enter into an agreement on behalf of a business;
Create or manage VIDA Rewards offers on behalf of a business; or
Otherwise make legally binding business representations through VIDA.
VIDA may require age or identity verification where appropriate.
3. User Accounts
You agree to provide accurate and current information when creating or maintaining an account.
Your account belongs to you as an individual. You may not sell, transfer, share, or allow unauthorized persons to use your account.
You are responsible for maintaining the confidentiality of your login credentials and for activity occurring through your account.
You must notify VIDA promptly if you believe your account has been compromised or used without authorization.
VIDA may suspend, restrict, or terminate accounts that contain false information, impersonate another person or business, engage in fraud or abuse, violate these Terms, or threaten the security or integrity of the Services.
4. Personal Accounts and Business Relationships
A VIDA user account represents an individual person, even when that person registers through VIDA’s Business registration process.
A business, organization, venue, or property is treated separately from the individual people authorized to manage it.
An individual may be granted access to one or more business listings as an owner, manager, or authorized representative.
Business access may be added, changed, suspended, transferred, or revoked when ownership, employment, authorization, or other circumstances change.
Removing a representative from a business does not transfer ownership of the business listing, business data, QR code, historical statistics, rewards activity, or other property-related records to that representative.
5. Business Registration and Listing Claims
If you register as a business owner, manager, or authorized representative, you certify that:
The information you provide is accurate;
You have authority to represent the business in the capacity you identify;
You have permission to submit or update information concerning the business;
You will notify VIDA if your authority to represent the business changes or ends; and
You will not falsely claim ownership, management rights, or authorization relating to another business.
VIDA may request documentation or other evidence of authority before approving or continuing a business relationship.
Submission of a claim does not guarantee approval.
VIDA may approve, reject, suspend, revoke, or reassess a business claim at its discretion when necessary to protect businesses, users, or the integrity of the platform.
Unauthorized or fraudulent listing claims may result in immediate termination of access.
6. Business Contact Information
Business representatives may provide private administrative contact information to VIDA.
Private contact information is not necessarily the same information displayed publicly on a business listing.
VIDA may allow a business representative to specifically designate a telephone number as public.
Providing contact information to VIDA does not automatically authorize VIDA to display information publicly unless the applicable feature or consent clearly indicates that it will be public.

7. Business Information and Listing Accuracy
VIDA attempts to provide useful and current information, but business information can change without notice.
Information including, without limitation:
Opening hours;
Closing days;
Addresses;
Telephone numbers;
Menus;
Prices;
Services;
Events;
Products;
Reservations;
Availability;
Promotions;
Offers;
Amenities;
Benefits;
Transportation information; and
Other listing information
may become inaccurate, incomplete, outdated, or unavailable.
VIDA does not guarantee the accuracy, completeness, timeliness, or availability of third-party business information.
Users should verify important information directly with the applicable business or service provider before relying upon it.
Business representatives are responsible for maintaining accurate information that they submit or control.
8. VIDA Is Not a Party to Third-Party Transactions
Unless expressly stated otherwise, VIDA is an information and discovery platform and is not the seller, restaurant, hotel, transportation provider, tour operator, event organizer, healthcare provider, merchant, professional, or other third-party business featured through the Services.
A listing on VIDA does not make Prolific Marketing LLC a party to any transaction between a user and a third party.
Third-party businesses are responsible for their own:
Products;
Services;
Pricing;
Reservations;
Safety;
Employees;
Facilities;
Food and beverages;
Transportation;
Experiences;
Customer service;
Refunds;
Fulfillment; and
Legal obligations.
Any dispute arising from a transaction or experience with a third-party business is primarily between the user and that business.
9. Travel, Activities, Events, and Safety
Travel, dining, nightlife, transportation, tours, outdoor activities, events, and other experiences may involve risks.
Conditions may change rapidly and may be affected by weather, road conditions, political conditions, crime, transportation interruptions, business closures, health conditions, natural events, or other circumstances beyond VIDA’s control.
Users are responsible for evaluating the suitability and safety of activities, destinations, transportation providers, businesses, and experiences.
VIDA does not guarantee the safety of any location, business, event, activity, service provider, or experience listed through the Services.
10. No Professional Advice
Content provided through VIDA is for general informational purposes.
Nothing on VIDA should be considered medical, legal, financial, tax, investment, safety, emergency, or other professional advice.
Listings of healthcare providers or other professionals do not constitute professional recommendations or guarantees of qualifications, treatment, results, or services.
Seek appropriate professional advice when necessary.
11. User-Submitted Content
VIDA may allow users to submit content including:
Reviews;
Ratings;
Photos;
Videos;
Articles;
Comments;
Corrections;
Recommendations;
Business information;
Event information;
Suggestions; and
Other materials.
You retain ownership of content that you own and submit to VIDA.
By submitting content, you grant Prolific Marketing LLC and VIDA a worldwide, non-exclusive, royalty-free, transferable and sublicensable license to host, store, reproduce, display, distribute, publish, adapt, format, translate, promote, and otherwise use that content in connection with VIDA and its promotion.
This includes use through:
VidaAntigua.com;
Other VIDA websites and services;
Email newsletters;
Social media;
Advertising;
Promotional materials;
Business presentations;
Printed materials; and
Other VIDA marketing or communications.
VIDA is not required to obtain additional permission or provide additional compensation each time submitted content is used in accordance with this license.
You represent that you own the content you submit or otherwise have the legal right to submit it and grant these rights.
You may not submit material that infringes another person’s copyright, trademark, privacy, publicity, contractual, or other rights.
12. Reviews and Testimonials
Reviews should reflect genuine experiences and honest opinions.
You may not:
Submit fake reviews;
Review a business you have never reasonably experienced;
Impersonate another reviewer;
Submit reviews on behalf of undisclosed third parties;
Purchase or sell fake reviews;
Threaten a business with a negative review for improper leverage;
Manipulate review systems;
Coordinate artificial review activity; or
Submit knowingly false statements of fact.
VIDA may offer points, recognition, participation rewards, or other incentives for contributing reviews or content.
Any incentive is for participation and must not be conditioned upon the review being positive.
VIDA does not guarantee publication or continued display of any review.
VIDA may moderate or remove content that violates these Terms, applicable law, platform standards, or the rights of others.
13. Business Responses and Corrections
Businesses may request corrections to objectively inaccurate listing information.
VIDA may review those requests and make corrections when appropriate.
A business does not have a right to require removal of legitimate opinions, reviews, criticism, or other lawful content merely because the business disagrees with it or considers it unfavorable.
14. VIDA Rewards, Benefits, Offers, and Promotions
VIDA may provide membership benefits, rewards, special offers, discounts, upgrades, VIP experiences, premium access, birthday offers, exclusive opportunities, or other promotional programs.
Additional program-specific terms may apply.
Participating businesses are responsible for accurately describing and honoring the offers they make available through VIDA.
Businesses are responsible for specifying applicable:
Restrictions;
Purchase requirements;
Redemption limits;
Frequency limits;
Eligible days or times;
Expiration dates;
Availability;
Estimated values; and
Other conditions.
Users are responsible for reviewing an offer’s conditions before attempting redemption.
Offers may be changed, suspended, exhausted, or discontinued.
Unless expressly stated otherwise, Prolific Marketing LLC is not responsible for a participating business’s failure to honor an offer.
VIDA may investigate, reverse, restrict, or invalidate rewards or benefits associated with suspected fraud, manipulation, technical errors, unauthorized activity, or abuse.
15. QR Codes, Referrals, Scans, and Activity Tracking
VIDA may use QR codes, referral links, unique tokens, account identifiers, property identifiers, or other technology to attribute activity to users or businesses.
Personal QR codes may be associated with individual member activity or contributions.
Property or business QR codes may be associated with particular business listings.
Users may not manipulate, duplicate, falsify, automate, or otherwise abuse QR scans, referrals, redemptions, rewards, or tracking systems.
Prohibited conduct includes creating artificial scans, false redemptions, coordinated fraudulent activity, or other actions designed to improperly obtain points, rewards, benefits, statistics, or recognition.
VIDA may maintain records of qualifying activity and may invalidate activity reasonably believed to be fraudulent or erroneous.

16. Intellectual Property and All Rights Reserved
Except for user content and third-party material, the Services and all associated intellectual property are owned by or licensed to Prolific Marketing LLC.
This includes, where applicable:
VIDA and Vida Antigua branding;
Logos;
Original articles and descriptions;
Original photographs and graphics;
Page designs;
Website layouts;
User interfaces;
Directory organization;
Taxonomies;
Database compilations;
Selection, coordination, and arrangement of listings;
Software;
Source code;
Proprietary business systems;
Promotional materials; and
Other original VIDA content.
All rights are reserved.
No rights are granted except as expressly stated in these Terms.
17. Scraping, Data Harvesting, and Competing Databases
Without prior written permission from Prolific Marketing LLC, you may not:
Scrape VIDA;
Crawl VIDA using unauthorized automated systems;
Bulk-copy listings;
Download substantial portions of the database;
Harvest business information;
Copy VIDA’s directory structure;
Republish VIDA listings in bulk;
Create a mirror or substantially similar directory;
Build a competing database using VIDA content;
Circumvent technical restrictions;
Use bots or automated extraction systems to collect VIDA content; or
Commercially exploit compilations of VIDA data.
Ordinary use of the Services by human users does not violate this section.
18. Artificial Intelligence and Automated Training
VIDA content, databases, listings, reviews, descriptions, photographs, articles, compilations, and other proprietary materials may not be systematically collected or used without written permission to:
Train artificial intelligence models;
Fine-tune machine-learning systems;
Build retrieval databases for competing products;
Develop competing travel or business directories;
Train commercial chatbots;
Create synthetic datasets;
Perform bulk data mining; or
Develop products derived from VIDA’s proprietary database or content.
This restriction does not prohibit ordinary individual use of publicly available VIDA information through lawful consumer tools.
19. Acceptable Use
You may not use VIDA to:
Violate applicable law;
Commit fraud;
Impersonate another person or business;
Falsely claim a business;
Harass, threaten, or abuse others;
Distribute malicious software;
Attempt unauthorized access;
Interfere with site security;
Circumvent access controls;
Manipulate rewards or statistics;
Submit illegal or infringing content;
Collect personal information without authorization;
Spam users or businesses;
Exploit vulnerabilities;
Reverse engineer protected systems where prohibited by law;
Use the Services to facilitate unlawful activity; or
Assist others in violating these Terms.
VIDA may investigate suspected violations and take appropriate action.
20. Copyright Complaints and DMCA
VIDA respects intellectual property rights.
If you believe material available through VIDA infringes your copyright, contact:
Your notice should identify the copyrighted work, identify the allegedly infringing material, provide sufficient information for VIDA to locate it, provide your contact information, and include the statements and signature required by applicable copyright law.
VIDA may remove or disable access to material reasonably believed to infringe copyright.
Where appropriate, VIDA may terminate accounts of repeat infringers.
A person who submitted removed content may have rights to submit a legally valid counter-notification.
21. Third-Party Links and Services
VIDA may link to or integrate with third-party services including:
Booking platforms;
Reservation services;
Hotels;
Tour operators;
Maps;
Social networks;
Payment providers;
Ticketing services;
Transportation providers;
Affiliate partners;
External websites; and
Other services.
VIDA does not control third-party websites or services.
Your use of a third-party service may be governed by that third party’s own terms, privacy policies, refund policies, and other rules.
Prolific Marketing LLC is not responsible for third-party websites, content, availability, security, products, services, transactions, or privacy practices.
22. Affiliate Links, Advertising, and Sponsored Content
VIDA may receive compensation when users click certain links, make purchases, book services, or interact with participating partners.
VIDA may also publish advertising, sponsored content, paid promotions, featured listings, or other commercial content.
Where required, VIDA will identify or disclose material commercial relationships.
Compensation does not guarantee a positive review, rating, recommendation, or editorial outcome.
23. Communications and Communication Preferences
VIDA may provide users with independent choices regarding promotional communications by:
Email;
Text message; and
Telephone.
Promotional communication preferences may be changed or withdrawn as permitted by applicable law and available account tools.
Consent to promotional communications is not a condition of creating a free VIDA account or purchasing a product or service unless expressly permitted by law.
VIDA may maintain records of communication preferences, including the communication channel, consent status, date, time, contact information associated with the preference, and version of the consent presented.
Users may still receive non-promotional communications reasonably necessary to operate the Services, including:
Account-security notices;
Password or login messages;
Business-claim communications;
Transactional information;
Service notices;
Legal notices; and
Responses to support requests.
Instructions for opting out of promotional communications may also be included within applicable messages.
24. Privacy
Use of the Services is also subject to VIDA’s Privacy Policy.
The Privacy Policy describes how VIDA may collect, use, disclose, store, and otherwise process personal information.
Account registration requires acceptance of the Privacy Policy where indicated.
25. Cookies and Similar Technologies
VIDA may use cookies and similar technologies for purposes including security, login functionality, preferences, analytics, performance, advertising, and other site functions.
Where required, VIDA will provide cookie consent and preference controls.
Non-essential tracking technologies may be subject to the user’s applicable cookie preferences.
Users may be provided with the ability to modify cookie preferences after their initial selection.
Additional information will be provided in VIDA’s Cookie Policy or privacy disclosures.
26. Electronic Records, Agreements, and Notices
You consent to conducting transactions with VIDA electronically.
You agree that electronic actions including:
Checking a checkbox;
Clicking an acceptance button;
Creating an account;
Submitting a form;
Approving a business claim;
Selecting communication preferences; and
Otherwise electronically indicating agreement
may constitute legally effective electronic actions to the extent permitted by applicable law.
You consent to receive agreements, disclosures, notices, and records electronically when appropriate.
27. Future Paid Services and Memberships
VIDA may introduce paid memberships, subscriptions, premium services, advertising products, business services, or other paid offerings.
Additional pricing, billing, renewal, cancellation, refund, and program-specific terms may apply before a user purchases or enrolls in a paid service.
Those additional terms will supplement these Terms.
If program-specific terms conflict with these general Terms, the program-specific terms will control with respect to that program to the extent of the conflict.
28. Suspension and Termination
VIDA may suspend, restrict, or terminate access to some or all Services when reasonably necessary, including for:
Violations of these Terms;
Fraud;
Abuse;
Security threats;
Unauthorized business claims;
Misrepresentation;
Repeated infringement;
Rewards manipulation;
Harassment;
Illegal conduct;
Failure to maintain business authorization; or
Conduct that threatens VIDA, its users, businesses, or third parties.
VIDA may also remove content that violates these Terms.
Users may stop using VIDA at any time.
Termination does not eliminate obligations or rights that by their nature should survive termination.
29. Service Changes and Availability
VIDA may modify, suspend, discontinue, restrict, or replace any feature, program, content, benefit, service, or portion of the Services.
VIDA does not guarantee that any feature or service will remain available indefinitely.
30. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
PROLIFIC MARKETING LLC DISCLAIMS WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, OR SECURITY.
VIDA DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, ACCURATE, OR AVAILABLE AT ALL TIMES.
SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS, SO SOME OF THESE DISCLAIMERS MAY NOT APPLY TO YOU.
31. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROLIFIC MARKETING LLC AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, AND REPRESENTATIVES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR SIMILAR LOSSES ARISING FROM OR RELATING TO THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF PROLIFIC MARKETING LLC ARISING FROM OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
THE AMOUNT YOU PAID DIRECTLY TO PROLIFIC MARKETING LLC FOR THE APPLICABLE SERVICE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
US $100.
THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF VIDA WAS ADVISED THAT SUCH DAMAGES WERE POSSIBLE.
NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT LEGALLY BE EXCLUDED OR LIMITED.
32. Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Prolific Marketing LLC and its owners, officers, employees, contractors, representatives, affiliates, and agents from claims, liabilities, damages, judgments, losses, expenses, and reasonable attorneys’ fees arising from or related to:
Your violation of these Terms;
Your misuse of the Services;
Content you submit;
Your infringement of another person’s rights;
Your violation of law;
False or unauthorized business claims;
Business information you submit;
Offers or benefits your business publishes or fails to honor;
Your transactions with other users or businesses; or
Fraudulent or abusive activity attributable to you.
33. No Agency, Partnership, or Endorsement
Unless expressly agreed in writing, nothing in these Terms creates an agency, partnership, joint venture, employment, franchise, fiduciary, or similar relationship between VIDA and a listed business or user.
The presence of a listing does not by itself constitute an endorsement, certification, guarantee, sponsorship, or partnership.
34. Force Majeure
Prolific Marketing LLC will not be responsible for delays, interruptions, failures, or inability to perform caused by circumstances reasonably beyond its control, including natural disasters, severe weather, earthquakes, volcanic activity, fires, floods, epidemics, governmental actions, civil unrest, war, transportation interruptions, telecommunications failures, hosting failures, internet outages, cyberattacks, utility failures, labor disruptions, or failures of third-party providers.
35. International Use
VIDA is operated by a Florida company and may be accessed from many countries.
Users are responsible for complying with laws applicable to them in their location.
Certain consumer, privacy, or other legal rights may apply regardless of provisions in these Terms and are not waived where applicable law prohibits waiver.
36. Governing Law
These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-law principles, except where mandatory applicable law requires otherwise.
37. Venue and Jurisdiction
To the extent permitted by applicable law, disputes arising from or relating to these Terms or the Services will be brought in the appropriate state courts located in Leon County, Florida, or the applicable federal courts serving that area.
You consent to the personal jurisdiction of those courts.
Nothing in this section eliminates rights that cannot legally be waived under applicable consumer law.
38. Changes to These Terms
VIDA may modify these Terms from time to time.
When changes are made, VIDA may update the effective or “Last Updated” date and post the revised Terms through the Services.
Where required by law or where a change is material, additional notice may be provided.
Your continued use of the Services after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.
If you do not agree to revised Terms, you should stop using the Services.
39. Assignment
You may not assign or transfer your rights or obligations under these Terms without prior written consent from Prolific Marketing LLC.
Prolific Marketing LLC may assign or transfer these Terms, the Services, and associated rights or obligations in connection with a merger, acquisition, restructuring, financing, sale of assets, transfer of the VIDA business, or similar transaction.
40. Severability
If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent legally permissible or severed if necessary.
The remaining provisions will continue in full force and effect.
41. No Waiver
Failure by Prolific Marketing LLC to enforce any provision of these Terms does not waive its right to enforce that provision or any other provision later.
42. Entire Agreement
These Terms, together with the Privacy Policy and any additional terms, policies, disclosures, or program-specific agreements that expressly apply to a particular VIDA feature or service, constitute the agreement between you and Prolific Marketing LLC concerning your use of the applicable Services.
43. Survival
Provisions that by their nature should survive termination will survive, including provisions concerning intellectual property, user-content licenses, limitations of liability, indemnification, disputes, and other accrued rights and obligations.
